Social Media Management (SMM) Terms and Conditions​
​​1. Service Scope

Content Creation: We will create and manage content (posts, images, videos) based on the agreed-upon strategy and schedule. The client must provide any specific materials, brand guidelines, or content preferences before the start of the service.
Platform Management: Our services include managing the client’s social media accounts on platforms such as Facebook, Instagram, Twitter, LinkedIn, etc. This involves posting content, engaging with followers, and basic account monitoring.
Ad Campaigns: If applicable, paid ad campaigns will be managed within the budget set by the client. The client must approve the ad strategy and budget before the campaign is launched.

2. Content Approval and Scheduling

Client Approval: The client will have the opportunity to review and approve content before it is published. If no feedback is provided within 48 hours, the content will be considered approved and scheduled for posting.

3. Intellectual Property and Image Usage
​
Client-Owned Content: The client retains ownership of any content they provide for use. The client guarantees that they own the rights or have obtained the necessary permissions to use all content submitted to us.
Third-Party Content: We may use stock images or content from third-party sources. The client is responsible for approving such content. If the client provides images or requests the use of specific images from online sources, they assume responsibility for any copyright issues that may arise.
Indemnity: The client agrees to indemnify and hold the agency harmless from any claims related to the use of client-provided content or content the client requested.

4. Performance and Results
​
No Guarantee of Results: While we aim to increase the client’s social media presence and engagement, we do not guarantee specific results such as follower growth, engagement rates, or sales increases.
Analytics and Reporting: Regular reports will be provided to the client ( if the plan has the scope ) summarizing the performance of social media activities. The frequency and format of reports will be agreed upon with the client.

5. Payment Terms

Fees and Invoicing: The client agrees to pay the agreed-upon fees for SMM services. Invoices will be issued every month, and payment is due within 15 days of the invoice date.
Late Payments: A late fee of 12% may be applied to any overdue payments. The agency reserves the right to pause services until payment is received.

6. Termination and Cancellation
​
Notice Period: Either party may terminate the agreement with a [30]--day written notice. Fees for services rendered up to the termination date will be due and payable.
Immediate Termination: The agency reserves the right to terminate the agreement immediately if the client breaches any of the T&Cs, including failure to pay for services on time.

7. Confidentiality and Data Protection
​
Confidential Information: Both parties agree to keep all sensitive information confidential and use it only to fulfil the agreement.
Data Security: The agency will take all reasonable measures to protect the client’s data. However, the agency is not liable for any data breaches that occur due to factors beyond its control.

8. Amendments
​
Changes to Terms: The agency reserves the right to amend these Terms and Conditions. Clients will be notified of any significant changes in advance.​
